1. SUBSCRIPTION SERVICES
1.1 Service Tiers
WhidbeyWebGirl offers three subscription tiers: Community ($25/month), Standard ($850/month), and Professional ($1,650/month). Each tier includes specified hours of monthly support and defined services as outlined in the service description.
1.2 Community Tier Access
The Community Tier ($25/month) is designed for minor updates and basic maintenance. The scope is intentionally limited (5 text edits, 3 image swaps per month), making it sustainable only at volume. All clients are welcome to subscribe.
Standard Consulting Rate Reference: Consultant's standard marketing consulting rate is $250/hour. Subscription tiers represent substantial value over traditional hourly consulting. This rate serves as a benchmark for the value delivered through subscription services.
1.3 Monthly Hours & Time Tracking
All work is billed to the nearest hour (minimum 1 hour per task)
Monthly hours reset on the 1st of each month
Unused hours do NOT roll over to the following month
Client receives monthly summary of hours used
Time tracking begins when work starts, not when request is received
1.4 Scope of Monthly Support Hours
Monthly support hours may be used for:
Website content updates within existing structure
Technical troubleshooting and bug fixes
Email campaign setup and modifications
SEO monitoring and basic optimization
Strategy calls and consulting (as specified in tier)
AI tool recommendations and guidance
Basic security monitoring
Monthly support hours may NOT be used for:
New website page creation
Major design or layout changes
Custom development or integrations
Content creation/copywriting (except minor edits)
Social media management
Video production
Training sessions beyond those specified in tier
Work requiring research or planning beyond scope
1.5 Overage Work
When monthly hours are exhausted:
Additional work is billed at tier-specific overage rate
Client must approve overage work BEFORE work begins
Overage hours invoiced separately and due within 15 days
Emergency overage requests require explicit approval
Overage Rates:
Community Tier: $125/hour
Standard Tier: $150/hour
Professional Tier: $175/hour
1.6 Response Times
Response times are measured from receipt of request during business hours (Monday-Friday, 9am-5pm PST, excluding holidays):
Community Tier: 48-72 business hours
Standard Tier: 24-48 business hours
Professional Tier: 24 business hours (priority)
Response time guarantees apply to:
Acknowledging receipt of request
Providing timeline for completion
NOT to completion of all work
1.7 Emergency Requests
Professional Tier includes one emergency request per month (same business day response during business hours). Emergency requests for other tiers are billed at $200/hour with 4-hour minimum response time during business hours only.
Emergency requests are defined as:
Website completely down
Critical security breach
Complete loss of access to essential systems
Issues causing immediate business disruption
NOT considered emergencies:
Routine updates with tight deadlines
Issues that can wait 24-48 hours
Problems caused by ignoring previous recommendations
Requests outside business hours (not available)
2. COMMUNICATION & REQUEST MANAGEMENT
2.1 Authorized Communication Channels
All service requests must be submitted via:
Email to designated support address
Client portal (if applicable)
Scheduled calls/meetings
Text messages and phone calls are reserved for:
True emergencies (Professional Tier)
Scheduled meetings
Brief clarifying questions
2.2 Request Processing
Requests processed in order received unless marked urgent
Urgent requests (Professional Tier) may move to front of queue
Complex requests requiring more than 2 consecutive hours will be scoped separately
Client will be notified if request exceeds tier scope before work begins
3. PROJECT-BASED WORK
3.1 Website Package ($3,500)
Includes all items listed in service description. Project timeline is 4-6 weeks from kickoff to launch.
Revision Policy:
2 rounds of revisions during design phase
Additional revisions billed at $150/hour
Revisions must be submitted within 48 hours of receiving deliverable
Delays in client feedback extend timeline accordingly
Launch & Post-Launch:
One week post-launch troubleshooting included
After one week, all support ends unless separate subscription is purchased
Emergency issues during launch week addressed same business day
Training on site management not included
Content Requirements:
Client provides all website content (text, images, logos)
Consultant will edit and position content for clarity and SEO
Extensive copywriting not included; can be quoted separately
Client is responsible for licensing of all images/assets provided
3.2 Training Packages
Cybersecurity Training ($500):
2-hour session (in-person on Whidbey Island or virtual)
Customized to client needs
30-day email support for follow-up questions only
Additional sessions billed separately
Group Training:
Up to 5 people: $750
Additional participants: $100 each
Same 30-day follow-up support per group
3.3 Ad Hoc Hourly Work
Standard Benchmark Rate: $250/hour for marketing consulting (serves as value reference for subscription pricing)
Active Hourly Services: For clients not on subscription:
Website updates & maintenance: $150/hour
Technical troubleshooting: $150/hour
AI implementation & training: $175/hour
Emergency/same-day requests: $200/hour (minimum 1 hour)
Terms:
Minimum 1 hour for scheduled work
Quick fixes under 30 minutes: $75 flat rate
Payment due within 15 days
Rush work (under 48 hours notice): 1.5x hourly rate
Note: Subscription tiers offer significant savings over ad hoc hourly rates and priority service.
4. PAYMENT TERMS
4.1 Subscription Billing
Subscriptions billed monthly on the 1st of each month
Payment due upon receipt of invoice (autopay strongly encouraged)
First month may be prorated based on signup date
Late payment may result in service suspension
4.2 Project Billing
Projects over $1,000:
50% deposit due before work begins
50% due upon completion
Project will not launch until final payment received
Projects under $1,000:
Full payment due before work begins
4.3 Late Payment
Invoices unpaid after 30 days incur $50 late fee
Services suspended after 45 days non-payment
Account reactivation requires payment of all outstanding balances plus $100 reactivation fee
4.4 Overage Billing
Overage work invoiced separately at end of month and due within 15 days.
5. SUBSCRIPTION MANAGEMENT
5.1 Cancellation
30 days written notice required
Cancellation effective at end of current billing cycle
No refunds for partial months
Setup fees (if applicable) are non-refundable
Client retains all work completed up to cancellation date
5.2 Pausing Subscription
May pause subscription for one month per calendar year
15 days advance notice required
No work performed during pause month
No refunds or credits for pause period
5.3 Tier Changes
Upgrading:
Takes effect immediately
Prorated difference charged for remainder of month
Downgrading:
Takes effect at next billing cycle
15 days notice required
No refunds for current month
6. SCOPE BOUNDARIES & LIMITATIONS
6.1 What Constitutes "Minor" vs "Major" Work
Minor (typically included in support hours):
Text edits within existing pages
Image swaps using provided assets
Link updates
Plugin updates and maintenance
Contact form modifications
Basic SEO adjustments
Major (requires separate quote):
New page creation
Layout or design changes
Custom functionality or integrations
E-commerce setup
Custom code development
Site migrations
Complete redesigns
6.2 When New Contract Required
The following work requires a separate contract and quote, and CANNOT be performed under existing subscription or hourly agreement:
Building a new website (beyond minor updates)
Adding e-commerce functionality
Major redesigns or rebranding projects
Custom application or tool development
Ongoing content creation services (blog writing, social media management)
Long-term marketing campaign management
Projects estimated to exceed 20 hours
Work requiring specialized subcontractors
Multi-phase projects with dependencies
Process for Out-of-Scope Requests:
Consultant identifies work as out-of-scope
Consultant provides written scope definition and quote
Client must accept new contract terms
Deposit required before work begins
Subscription hours cannot be applied to new project
Client may not circumvent this requirement by:
Breaking large projects into small requests
Claiming work is "minor" when it exceeds scope
Requesting work incrementally to avoid new contract
Using monthly hours for project work
6.3 Client Responsibilities
Client is responsible for:
Providing timely feedback and approvals
Providing content, images, and assets
Maintaining access credentials
Backing up any data not managed by consultant
Following security recommendations
Timely payment
6.4 Consultant Limitations
Consultant is NOT responsible for:
Issues caused by third-party services or plugins
Downtime caused by hosting provider
Security breaches caused by client negligence
Lost data due to client error
Problems arising from ignoring security recommendations
Browser compatibility for browsers with <1% market share
7. INTELLECTUAL PROPERTY
7.1 Client-Provided Materials
All materials provided by client remain client's property. Client warrants they have rights to all provided materials.
7.2 Work Product
Upon full payment:
Client owns all custom website designs and content created
Client receives non-exclusive license to use any templates or frameworks
Consultant retains right to use work in portfolio
Consultant retains ownership of proprietary tools, processes, and methodologies
7.3 Third-Party Elements
Websites may include:
Open-source software (subject to respective licenses)
Platform templates (Squarespace, Wix)
Third-party plugins and integrations
Stock photos or assets (properly licensed)
Client must maintain licenses for any third-party elements.
8. WARRANTIES & LIMITATIONS OF LIABILITY
8.1 Service Warranty
Consultant warrants:
Services performed in professional manner
Work will substantially conform to specifications
Work will function as intended at time of delivery
Consultant does NOT warrant:
Uninterrupted service
Error-free operation
Specific business results or outcomes
Compatibility with all future updates/changes
8.2 Limitation of Liability
Consultant's total liability shall not exceed:
For subscriptions: Three months of subscription fees
For projects: Total project cost paid
For hourly work: Amount paid for work in question
Consultant not liable for:
Indirect, incidental, or consequential damages
Lost profits or business interruption
Data loss (client responsible for backups)
Third-party service failures
Security breaches due to client negligence
8.3 Force Majeure
Neither party liable for delays or failures due to circumstances beyond reasonable control (natural disasters, internet outages, pandemics, etc.).
9. CONFIDENTIALITY
9.1 Mutual Confidentiality
Both parties agree to:
Protect confidential information
Not disclose to third parties without consent
Use confidential information only for purposes of this agreement
9.2 Exceptions
Confidentiality does not apply to:
Information already publicly known
Information independently developed
Information required to be disclosed by law
10. TERMINATION
10.1 Termination for Convenience
Either party may terminate with 30 days written notice (subscriptions) or as specified in project agreement.
10.2 Termination for Cause
Either party may terminate immediately if:
Other party breaches material term
Other party files for bankruptcy
Other party engages in illegal activity
10.3 Consultant's Right to Terminate
Consultant reserves the right to terminate services at any time, with or without cause, including but not limited to:
Disrespectful, abusive, or inappropriate behavior toward consultant
Unreasonable demands or expectations beyond scope
Pattern of late payments
Repeated failure to provide timely feedback or materials
Misuse of services or circumventing agreed-upon processes
Any situation where consultant determines the working relationship is no longer sustainable
In such cases:
Consultant will provide written notice of termination
Services cease immediately or as specified in notice
Client will be refunded any prepaid unused subscription time on a prorated basis
Client pays for all work completed to date
No penalties or fees apply to consultant
10.4 Effect of Termination
Upon termination:
Client pays for all work completed
Consultant delivers all completed work product
Access credentials returned or transferred
Confidentiality obligations survive
11. GENERAL PROVISIONS
11.1 Entire Agreement
These terms constitute the entire agreement and supersede all prior agreements or understandings.
11.2 Amendments
Consultant may update these terms with 30 days notice. Continued use of services constitutes acceptance.
11.3 Governing Law
Agreement governed by laws of Washington State. Any disputes subject to jurisdiction of courts in Island County, Washington.
11.4 Severability
If any provision found invalid, remaining provisions remain in full effect.
11.5 No Partnership
This agreement does not create partnership, joint venture, or employment relationship.
11.6 Assignment
Client may not assign this agreement without written consent. Consultant may assign to qualified subcontractor with notice.
11.7 Notices
All notices must be in writing and sent to email addresses on file.
12. ACCEPTANCE
By purchasing services or signing service agreement, client acknowledges reading, understanding, and agreeing to these terms.
